01 Acceptance of Terms

By accessing or using rusnikita.com, the newsletter, advisory programs, digital products, or any other services offered under the Rus Nikita brand (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Services. These Terms constitute a legally binding agreement between you and Rus Nikita ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Services after any changes constitutes your acceptance of the revised Terms.

02 Services Offered

Rus Nikita provides the following categories of services:

• Advisory and Coaching Programs — High-ticket strategic advisory engagements for CEOs, founders, and operators running companies above $100M in revenue
• Newsletter — Editorial content delivered via email and hosted on Beehiiv, covering topics of leadership, decision-making, and strategic clarity
• Digital Products — Frameworks, guides, templates, and other downloadable or accessible materials
• Events and Workshops — Live or recorded sessions, masterminds, and related programming
• Website Content — Educational content, articles, and media published at rusnikita.com

The nature, scope, and pricing of Services may change at any time. We make no guarantee that any specific service will continue to be available.

03 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into binding agreements
• You are not prohibited by law from receiving or accessing the Services
• All information you provide is accurate, current, and complete

04 Payments and Refunds

Fees. Certain Services require payment. All fees are stated in United States Dollars (USD) unless otherwise specified. By purchasing a Service, you authorize us to charge the applicable fees to your designated payment method.

Advisory Programs. High-ticket advisory engagements are governed by a separate client agreement, which will supersede these Terms with respect to the specific terms of that engagement, including payment schedules, deliverables, and exit provisions.

Digital Products. All sales of digital products are final. Due to the nature of digital delivery, we do not offer refunds once access has been granted, unless required by applicable law.

Disputes. If you believe you have been charged in error, contact us within 30 days of the charge at the email address listed in the Contact section below. We will review disputes in good faith and work toward a fair resolution.

05 Intellectual Property

All content published under the Rus Nikita brand — including but not limited to written frameworks, newsletter issues, video content, the "Clarity Under Consequence" methodology, "The Siberian Files" narrative, course materials, templates, and all visual and editorial assets — is the exclusive intellectual property of Rus Nikita and is protected by applicable copyright, trademark, and other laws.

You may not reproduce, distribute, modify, republish, transmit, or otherwise exploit any content from the Services without prior written permission. Personal, non-commercial use for your own reference is permitted, provided you do not remove any attribution or proprietary notices.

06 Prohibited Conduct

When using the Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulation
• Copy, scrape, resell, or commercially exploit any part of the Services without authorization
• Impersonate Rus Nikita or any team member, or falsely claim affiliation with us
• Share access credentials to any paid program with unauthorized third parties
• Interfere with or disrupt the integrity or performance of the Services
• Engage in any conduct that is harmful, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any system or data

07 Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Rus Nikita expressly disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Results. Advisory content, frameworks, and coaching are educational and strategic in nature. We do not guarantee specific financial outcomes, business results, or personal achievements. Results depend entirely on individual effort, context, and circumstances beyond our control.

Not Professional Advice. Nothing within the Services constitutes legal, financial, tax, or medical advice. Always consult qualified professionals for decisions in these domains.

08 Limitation of Liability

To the maximum extent permitted by applicable law, Rus Nikita shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of the Services shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) USD $100.

09 Termination

We reserve the right to suspend or terminate your access to any or all Services, at our sole discretion, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, us, third parties, or for any other reason.

You may stop using the Services at any time. Unsubscribing from the newsletter can be done via the unsubscribe link included in every issue. For cancellation of advisory programs, refer to your individual client agreement.

Upon termination, provisions of these Terms that by their nature should survive will remain in full force, including intellectual property provisions, disclaimers, and limitations of liability.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction of Rus Nikita's primary business operations, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or competent courts in the applicable jurisdiction.
